The Group has legally set shareholders’ meeting, board of directors, and board of supervisors and further specified range of rights and responsibilities and work procedures among shareholders’ meeting, board of directors, board of supervisors and senior executives by formulating and improving Rules of Procedure for Shareholders’ Meeting, Rules of Procedure for Board of Directors, Rules of Procedure for Board of Supervisors, Corporate Internal Control System, Corporate Related Transaction Policy-making System, Corporate Subsidiary Management System and other standard documents and internal systems. Meanwhile, in order to further improve corporate governance, the Group has set strategy committee, nomination committee, salary and assessment committee, audit committee in board of directors as per Company Law, Code of Corporate Governance for Listed Companies in China, Guide to Protection of Rights and Interests of Small- and Medium-sized Enterprise Investors and other provisions concerned, further established and improved assessment and salary management system for directors and senior executives in the Group, and ensured effective supervision of senior executives made by board of directors.
